These documents are drafts for review. Company-specific practices and contractual terms need confirmation before publication.
About these terms
These terms describe the proposed conditions for access to Staypace Limited’s website and business services. Read the applicable service agreement and transaction terms before opening an account or initiating a transaction.
A signed service agreement or specific transaction terms govern the matters they expressly cover. These website terms do not replace mandatory legal rights or establish a funding commitment.
Eligibility and authorised access
You must have legal capacity and authority to act for the business you represent. Provide accurate information and complete any verification required for the services you request.
Use only permissions assigned to you. Your business is responsible for managing its users, keeping credentials secure, and promptly reporting suspected account compromise.
Our services
Payables supports supplier records, invoices, approvals, payment scheduling, and reconciliation. Payments supports collections, bank and mobile money disbursements, and bulk payments on enabled routes.
DTX connects eligible businesses and suppliers with financiers through invoice verification and bidding. Features, providers, payment routes, and eligibility depend on the service arrangements available to your business.
Payment instructions and approvals
Check beneficiary details, amounts, currency, references, and supporting records before approving a payment. Only submit instructions you are authorised to give.
A request or initial acknowledgement is not necessarily confirmation of final payment. Processing can depend on verification, available funds, required approvals, and the receiving provider. Use transaction status and confirmations for follow-up.
Bulk, scheduled, and recurring payments
Review every item in a batch and check scheduled dates, recurrence settings, and spending controls. Items in a batch may have different outcomes.
A scheduled date is an instruction for processing, not an unconditional guarantee of receipt. Check the applicable route, funding requirements, and transaction status.
Invoice discounting and financiers
Businesses submitting invoices must be authorised to seek financing against them and provide genuine, accurate supporting information. Disclose disputes, prior financing, assignments, or other restrictions affecting a receivable.
Verification does not guarantee payment, funding, or investment performance. Financiers assess offers and risks; businesses choose whether to accept bids. Funding, assignment, buyer settlement, and financier repayment are governed by the accepted arrangement. Late payment or default can occur.
Fees and charges
Staypace’s DTX fee is 0.75% of the transaction amount, separate from the financier’s discount or financing cost. Review the offer and any applicable taxes or third-party charges before accepting.
Charges for other services are determined by the applicable commercial terms. Do not treat an illustrative website calculation as a complete transaction quote.
Cancellations, refunds, and disputes
Contact us promptly if an instruction is incorrect or disputed. Cancellation, reversal, refund, or recovery depends on the transaction stage, receiving provider, applicable law, and service terms; completed payments may not be reversible.
Keep the transaction reference and relevant records. Commercial disputes about supplied goods or services remain between the relevant parties unless an agreement expressly provides otherwise.
Acceptable use
Do not use Staypace for unlawful activity, fraud, unauthorised payments, false invoices, or infringement of another person’s rights. Do not attempt to bypass approvals, access another account, disrupt services, or misuse credentials.
Use integrations only within the permissions and service conditions granted to your business. Keep confidential data and credentials out of public code and messages.
Information and intellectual property
You retain rights in information you provide and must have authority to share it. Processing of personal information is described in our Privacy Notice and relevant service agreements.
Staypace branding, website materials, and software rights belong to their respective owners. Access does not transfer ownership or authorise misleading use of our name or materials.
Availability, restrictions, and closure
Services can be affected by maintenance, provider interruptions, security incidents, or legal requirements. Access may be restricted where needed to investigate misuse, protect users, or comply with obligations, subject to applicable agreements and law.
Before closing an account, address pending payments, funding arrangements, and record access with our team. Closure does not automatically cancel existing obligations or require deletion of records that must lawfully be retained.
Responsibility and applicable law
Responsibilities, remedies, and any agreed limits of liability should be read with your service agreement. Nothing in these terms excludes liability or rights that cannot lawfully be excluded.
These terms are intended for a Kenya-based service and are governed by Kenyan law, subject to mandatory law and any valid dispute-resolution provisions in the applicable agreement. Raise concerns with us first without giving up your right to use available legal or regulatory remedies.
Contact and updates
For service, payment, or account questions, contact [email protected] or +254 704 145 832. Include the relevant reference, but never passwords, PINs, or one-time codes.
Updated terms will carry a revised date. Any notice or acceptance required for a material change should be handled under the applicable agreement and law.
